Terms and Conditions for use of this website

Between:

  1. (IFA CONVEYANCING a trading name of Legals Direct Limited (Reg. Co. No. 06138776) of Ty Antur, Navigation Park, Abercynon CF45 4SN  ‘IFAConveyancing.co.uk’); and
  2. YOU, (‘Registered Introducer’).

Background:

(A) IFAConveyancing.co.uk is a company that provides an independent Comparison Search Engine for comparing the conveyancing costs of Conveyancers

(B) The IFAConveyancing.co.uk Comparison Search Engine is a non-public facing price comparison websites for Registered Introducers.

(C) IFAConveyancing.co.uk and the Introducer wish to enter into an agreement pursuant to which The Introducer shall use the Comparison Search Engine to source and instruct conveyancers on behalf of their clients.

1 Definitions

1.1 In this Agreement unless the context otherwise requires the following words and expressions shall have the following meanings:

"Agreement" means this agreement including any schedule or annexes to it;

"Comparison Search Engine" means the Comparison Search Engine Program provided by IFAConveyancing.co.uk;

"Conveyancers" means solicitors or licensed conveyancers that have registered to provide conveyancing costs via IFAConveyancing.co.uk;

"Referral Fee" means the sum of money paid after completion of a conveyancing transaction;

"Introducer" means you;

"Website" means the www.IFAConveyancing.co.uk website.

1.2 In this Agreement, unless the context otherwise requires:

(a) words importing one gender include all genders;

(b) reference to a person shall include a corporation or unincorporated association;

(c) the singular includes the plural and vice versa;

(d) references to any statutory provision shall be deemed to include such provision as amended from time to time;

(e) the titles and headings are for reference only and shall be ignored when interpreting or construing this Agreement.

1.3 If there is any conflict between the terms of the main body of this Agreement and those contained in any schedule or document referred to, the terms of the main body of this Agreement shall prevail to the extent of that conflict.

2 Access to the Website and content

2.1 We will endeavor to allow uninterrupted access to the Website, but access to the Website may be suspended, restricted or terminated at any time.

2.2 We reserve the right to change, modify, substitute or remove without notice any information on the Website from time to time.

2.3 We assume no responsibility for the contents of any other websites to which the Website has links.

3 Intellectual Property

3.1 The copyright in the material contained in the Website, together with the website design, text and graphics, and their selection and arrangement, and all software compilations, underlying source code and software (including applets) belongs to IFAConveyancing.co.uk, its subsidiaries or the providers of such information. All rights are reserved. None of this material may be reproduced or redistributed without our written permission. You may, however, download and print conveyancing comparisons and illustrations.

4 Exclusions of liability

4.1 We use reasonable endeavors to ensure that the data on the Website is accurate and to correct any errors or omissions as soon as practicable after being notified of them. To the extent permitted by applicable law, we disclaim all warranties and representations (whether express or implied) as to the accuracy of any information submitted by Conveyancers contained on the Website. We do not guarantee that the Website will be fault free and do not accept liability for any errors or omissions.

4.2 Due to the nature of electronic transmission of data over the Internet, any liability we may have for any losses or claims arising from an inability to access the Website, or from any use of the Website or reliance on the data transmitted using the Website, is excluded to the fullest extent permissible by law. In no event shall we be liable for any loss of profit, revenues, goodwill, opportunity, business, anticipated savings or other indirect or consequential loss of any kind in contract, tort (including negligence) or otherwise arising out of use of the Website, save where such liability cannot be excluded by law.

4.3 We do not give any warranty that the Website is free from viruses or anything else which may have a harmful effect on any technology.

5 Exclusion of liability for Conveyancers services

We promote a number of Conveyancers on the Website and offer you the opportunity to compare, research and instruct Conveyancers on behalf of your clients through the Website. We can accept no liability for any services provided by the Conveyancers.

6 User name and password

6.1 On registering with us, you are issued with a user name and password which must be used in order to access certain restricted parts of the Website. The user name and password are personal to you and are not transferable.

6.2 Your name and password are the methods used by us to identify you and so are very important. Any breach of security of a user name and password should be notified to us immediately.

6.3 You may not adapt or circumvent the systems in place in connection with the Website nor access the Website other than through normal operations.

7 Referral Payments

7.1 You are responsible for specifying your own referral fee at the point of obtaining a comparison.

7.2 You must provide us with complete and accurate payment information. Referral fees are paid by BACS direct to the bank account you specify within the accounts section of the Website.

7.3 Referral Fees are paid within 2 working days upon commissions being paid by the Conveyancer.

7.4 In no event shall we be liable for a Referral Fee if the Conveyancer fails to pay IFAConveyancing.co.uk.

8 Data protection

8.1 We are committed to protecting your privacy. We will collect and use information supplied by you and other users of the Website to improve the Website and personalise your experience when you visit the Website. We may also use it to tell you about changes in our services or about features we think you'll find interesting.

8.2 Under the UK Data Protection Act 1998 we follow strict security procedures in the storage and disclosure of information which you have given us, to prevent unauthorised access.

8.3 You may edit your personal information at any time.

A cookie is a small text file written to your hard drive that contains information about you. Cookies do not contain any personal information about users. Once you close your browser, the cookie simply terminates. We use cookies so that we can personalise your experience of the Website. If you set up your browser to reject the cookie, you will not be able to access the secure section of the Website.

9 Termination

9.1 We may terminate your access to the Website and the services within it without notice.

9.2 All disclaimers, indemnities and exclusions in this agreement shall survive termination of this Agreement for any reason.

9.3 We may terminate your access to the Website and services within it if you approach a solicitor direct, outside of IFAconveyancing, in a bid to form a direct relationship.

10 General

10.1 If any provision of these terms and conditions is held to be unlawful, invalid or unenforceable, that provision shall be deemed severed and the validity and enforceability of the remaining provisions of these terms and conditions shall not be affected.

10.2 We may modify these terms and conditions at any time by publishing the modified terms and conditions on the Website. Any modifications shall take effect 3 days after posting on the Website.

10.3 We may share your activity with the person / company that referred you to our site. This information will be limited to: Name, Company Name and Instruction Count

11 Governing law

11.1 These terms are governed by and to be construed in accordance with English law.

11.2 Any disputes shall be subject to the exclusive jurisdiction of the English courts
